            Please go through this Constitution and give feed back to Prof-in-charge, Alumni Association, M.P.Law College, Aurangabad.
            Your attention is called to consider the following issues :-
1)         Whether draft constitution of Alumni Association captures aspirations of associations?
2)         Whose involvement will be sufficient?

PREAMBLE

            We, The Alumni of Marathwada Legal and General Education Society’s Manikchand Pahade Law Collegeaffiliated to Dr. Babasaheb Ambedkar Marathwada University, Aurangabad (M.S.) INDIA, having solemnly resolved to constitute M.P. Law College Alumni Association to Achieve Excellence in Legal Profession and to secure to its alumni:
Advanced Legal Knowledge by connecting jurists for
Teaching-Learning and Publication of Legal Literature;
An opportunity to express widely the Legal Knowledge;
 To promote affinity, integrity, fraternity and advancement;
And to promote the commitment to the cause of M.P. Law College.
            Hence resolution passed on this __________ day of ______ 2008 to adopt and give this constitution to overselves in this meeting of M.L. & G.E.Society’s M. P. Law College Alumni Association.

                                                Article – I :-    The Association :
1.1 Name: -     The name of the Association shall be M.L. & G.E. Society’s M.P. Law College Alumni Association.  The Alumni Association shall be abbreviated to “MPLC Alumni Association” or MPLC-AA
1.2 Motto: -    “Connecting the Jurists for Excellence”.
1.3 Logo: -      The Logo of MPLC-AA shall contain the Map of India, which shall contain sign of equal justice, advocacy, pen and book.  The four sides of Logo shall bear the words “Affinity, Integrity, Fraternity, Advancement” in clock wise direction of India Map.




 

Article-II: - Mission and purpose:
            The MPLC –AA’s mission and purpose shall be -
            2.1       To facilitate social, professional and otherwise connections among Alumni   through print, electronic and related media.
            2.2       To enrich quality of students of College with the support of Alumni’s experiences.
            2.3       To strengthen the spirit of fraternity amongst faculty, Students and Alumni.
            2.4       To promote and support quality and quantity of programs for achieving professional excellence conducted by Alumni Association and College.
            2.5       To publish Alumni news, law journals etc.
            2.6       To encourage bountiful financial support to the College for advancing its mission.
            2.7       To promote the cause of higher education by encouraging research support particularly at M.P. Law College.
            2.8       Committed to achieve an excellent profits and image of College.
            2.9       To aid in student recruitment and retention.
            2.10     To built an active and influential volunteer base.
            2.11     To encourage Co-operation and effective organization amongst Alumni.
            2.12     To propagate methods and principles learned at College.
            2.13     To promote creative working atmosphere at College.
            2.14     To recognize the distinguished services of its Alumni.
            2.15     To monitor and respond to opinion of Alumni.
            2.16     To promote and encourage legal writings amongst Alumni.
            2.17     To promote and safeguard Constitutional Principles for nurturing democratic polity.
                                                Article – III: - Membership:-
            3.1       The word “Alumnus” shall mean any person who:
                        a.         Has completed the regular degree, diploma or Certificate Course from   M.P. LawCollege, Aurangabad; or
                        b.         Has enrolled as a student for regular degree, diploma or Certificate        Courses but not completed; or
                        c.         Is pursuing his / her studies at M.P. Law College; or
                        d.         Is / was part of staff member of M.P. Law College; or
                        e.         Is willing to get affiliated with association for the cause of excellence       in higher education and legal profession; or
                        f.          Is being invited by the chairman of executive council of Alumni   Association.
            3.2       There shall be five kinds of members in MPLC-AA:-
                        a. Life: -          Any person who is past or present student of M.P. Law College            has paid membership fee of Rs. 1000/- (Rupees One Thousand Only) shall become life member.
                        b. Regular: -   Any person who is past or present students of M.P. Law           College has paid subscription fees of Rs. 100/- (Rupees One       Hundred Only) shall become a member for one financial year.
                       c. Affiliate: -     Any person who is not past or present student of M.P. Law      College can subscribe for Affiliate membership by paying Rs.        500/- (Rupees Five Hundred only) as subscriptions fees and              shall become member for five financial years.
                      d. Associate: -   Any person remained in association not less than one year as a teaching and non-teaching member of M.P. Law College can         subscribe for membership by paying Rs. 500/- (Rupees Five             Hundred Only) as subscription fees and shall become a member for       five financial years.
                      e. Honorary: -   Any person of distinguished quality has shown commitment to    the cause of association may be invited by the chairman of     executive council for achieving the ends of association, as             resolved by association in its annual meetings.
            3.3       Right to vote:-All members except affiliate and honorary member shall have                 right to vote in all meetings of association.
            3.4       Revocation of membership: - Alumni shall maintain the conduct in carrying                 out associations’ business.  The College reserves the right to                    revoke membership of any member of Alumni Association for                         breach of conduct.
            3.5       Reinstatement of membership: - Alumni may petition in writing to the                                    Executive Council for reinstatement of membership against the                   revocation of membership by College.  The executive council                       shall decide the petition by voting in its meetings.   Revoked                   member shall be reinstated with membership only by majority                vote at the meeting.
                                   
                                                Article – IV: Head Office and Supervision:
            4.1       The Head Office of the MPLC Alumni Association is located at M.P. Law College, Samarthnagar, Aurangabad (M.S.) India.
            4.2       The MPLC-AA shall conduct its business in a manner consistent with law governing registered societies.
            4.3       The Activities of Alumni Association shall be under general supervision of M.L. & G.E. Society and M.P. Law College.
            4.4       The Activities and views of Alumni Association shall not be treated as of M.L. & G.E. Society and M.P. Law College.
                                                Article – V: Definitions:
            The expressions used in this constitution and bye laws shall have meaning unless contest otherwise requires:-
            5.1       “Alumni”– The word Alumni shall have meaning as provided under Article 3.1
            5.2       “Financial year” – The financial year for Alumni Association shall commence on every 1stth June of the year. July of the year and end at every 30
            5.3       “Jurists” – The word jurists shall include judges, Advocates, teachers and students of law.
            5.4       “Director”– Any full-time faculty of M.P. Law College nominated by Principal of the College in Consultation with G.C. of M.L. & G.E. Society and E.C. of MPLC-AA. The Director shall be ex-officio member of Executive Council of MPLC-AA and shall have right to participate in AA’s business with right to vote.
                                                Article – VI: - Structure of Association:-
6.1              Annual General Meeting.
6.2              Special meetings
6.3              Executive Council
6.4              Director of Alumni Association.
6.5              Executive Committees constituted by Executive Council.
a.             Publication Committee.
b.            Election Committee.
c.             Program Committee.
d.            Policy and procedure Committee.
e.             Finance and Auditing Committee.
                                                Article – VII – Meetings:-
7.1        There shall be two meetings of Association :-
a.      Annual General Meeting: - This shall be the supreme body of Association to achieve the ends of AA but subject to supervision of M.L. & G.E. Society and M.P. Law College.  The AGM of all members of AA shall be called at least once in each financial year at time and place to be agreed upon by the Chairman of AA & Director of Alumni Association.
b.      Special Meeting: - The Special Meeting of all members of AA shall be called by the Chairman of AA / Director of AA / by President of M.L. & G.E. Society on the request of at least 10 members of AA.
            7.2       Business to be transacted:-
a.      To pass resolution by majority for achieving the ends of Alumni Association.
b.      To consider and adopt the budget placed by Executive Council.
c.      To review the yearly financial report submitted by Executive Council for its consideration and to monitor and respond to opinions of M.L. & G.E. Society.
d.      To operate funds received from membership fees, private donation or by any other means as an operating fund of Alumni Association unless otherwise specified by this Constitution.
e.      The resolution passed by majority in Special Meetings shall be the resolutions of A.G.M.
f.       To notify the current membership meetings of association.
g.      To fill-up vacancies in Executive Council by election or by Co-option, as the case may be, depending upon completion of tenure.
 7.3      Quorum: - The quorum for the meetings of association shall be as prescribed by Executive Council and approved by Alumni Association.
                                                Article – VIII: - Executive Council:-
            8.1.      The Executive Council of Alumni Association shall consist of:-
a.      Chairman;
b.      Vice – Chairman;
c.      Secretary;
d.      Treasurer;
e.      Director of Alumni Association as Ex-officio councilor;
f.       Four councilors; and
g.      General secretary, M.L. Law College’s Student Council –Ex-officio Councilor.
            8.2       Regular Meeting: -  At least four times in a financial year the meetings of executive Council shall be called by Chairman with equal intervals for effectuating this constitution and resolutions passed by Alumni Association in its meetings.
            8.3       Called meetings: - The chairman shall call a called meeting if request from at least four members of Executive Council.
            8.4       Quorum: - At least six members of Executive Council shall complete the quorum in its meeting.
            8.5       Business to be transacted:- 
                        a.     In official language of State of Maharashtra.
                        b.     To pass resolution to effectuate the mission and purpose of Alumni Association.
                        c.     To adopt proposed budget prepared by Secretary and treasurer and to recommend the same to AGM of AA.
                        d.     To consider any Alumni as distinguished for felicitation.
                        e.     To conduct different activities for achieving excellence in legal profession.
                        f.      To promote and support by all means the mission of M.L. & G.E. Society and M.P. Law College.
                        g.     To consider, adopt and recommend financial report and AGM.
            8.6       Tenure:-
                                The office of bearers of the Alumni Association shall be elected by direct voting from members of Alumni Association except Director of Alumni Association & G.S., M.L. Law College’s Student Council.  The tenure of the Executive Council shall be of four financial years.
           
            8.7       Attendance:-
                                All elected members of Executive Council shall attend the meetings, any member absent for two consecutive meetings of Executive Council shall be removed by Alumni Association in its meeting by majority.
            8.8       Executive Committees: - The Executive Council shall form various       Executive Committees:
                        a.     Policy and Procedure Committee: - The committee shall consist of five members nominated by chairman. The committee shall prepare policy and procedural rules deemed necessary and appropriate for association and shall recommend the same to Executive Council.
                        b.     Program Committee:- The committee shall consist of three members, having vision for excellence in profession, be nominated by chairman.  The program committee shall prepare the plan of annual program report to Executive Council for its approval.
                        c.     Publicity Committee:- The committee shall consist of three council members having knowledge of Journalism be nominated by chairman to positively publishing the events of association via all available media.
                        d.     Publication Committee:- The committee shall consist of five members having knowledge of legal writings be nominated by chairman to publish newsletter / Journal by name “Jurists” subject to approval of Executive Council.
                        e.  Finance & Auditing Committee:- The Committee shall consist of five members, having knowledge of accounts, be nominated by chairman to prepare budget by rising funds from different sources for the yearly programs.  The budget and supplement to budget shall be submitted to Executive Council for consideration.  The committee shall audit the treasurer’s account at the end of every financial year and prepare yearly financial report for consideration of Executive Council.
                        f.      Election Committee:- The Committee shall consist of five members committee shall be nominated by chairman.
            8.9       Powers of Executive Council:-
                       a.     The powers of the Alumni Association shall be vested in Executive Council. 
                        b.     The Executive Council shall have the power to conduct, manage and control the affairs and business of the Alumni Association as it may deem best, but not inconsistent with this constitution and bye laws.
                        c.     The Alumni Association shall receive, hold, administer expand funds and property.
                        d.     The Alumni Association may acquire and hold property including shares of stocks, bonds and securities of corporations.
                        e.   The AA may convey exchange, lease, mortgage, encumber, transfer upon trust or otherwise dispose of all property, real or personal.
                        f.      The AA can enter into contracts.
                        g.     The AA can borrow money, contract debts, and issue funds, notes and debentures and secure the same.
            8.10     Duties of Executive Council:-
                        a.     To conduct, manage and control the affairs, business and property of the Alumni Association.
                        b.     To encourage establish and control trust.
                        c.     To acquire property, right and privileges for the Alumni Association.
                        d.     To manage day to day affairs of MPLC-AA ensuring its smooth operation in relationship to the goals of the Association and the college.
                        e.     T remove any officer or member by 2/3 majority vote for misconduct/ negligence in performance of duties.
                        f.      To expressly prohibit discrimination on the basis of race national origin, caste, gender, religion, handicap, age, social orientation, marital status or veteran status.
                        g.     To take appropriate steps to fill up vacancies of Executive Council.
                        h.     To attend and participate in all meetings.
                         i.      To appoint committees as needed and as required by this constitution.
             8.11    Chairman:-  It shall be the duty of the chairman:
                        a.     To call and preside over all meetings and functions of the association.
                        b.     To nominate chairpersons and members of all committees not directly elected by the Association except Election Committee. 
                        c.     To exercise general authority on behalf of association subject to approval.
                        d.     To assure that the purpose of the association are being carried out.
                        e.     To put countersign on all monetary transactions.
                        f.      To attend any meeting, as invitee, called by any executive committee except Election Committee.
                        g.     To perform such further functions and duties as may be deemed appropriate by the Association or the Executive Council.
            8.12     Vice – Chairman:-  It shall be duty of Vice – Chairman:
                        a.     To serve as chairman in the absence of chairman.
                        b.     To become familiar with the duties of the Alumni Association chairman.
                        c.     To serve as member of any Executive Committee on nomination.
                        d.     To assist the chairman to perform duties as may be requested.
            8.13     Secretary:-  It shall be the duty of the Secretary:
                        a.     To serve as a member of Executive Committee on nomination.
                        b.     To record the accurate minutes of the meetings of Alumni Association and Executive Council and responsible for distributing the previous minutes of meetings or next meetings.
                        c.     To correspond on behalf of association and to maintain up to date and appropriate file of all correspondence and shall notify the membership of the meetings of association.
                        d.     To submit all kinds of report to Executive Council & A.A.
                        e.     To serve as secretary of AGM / SM of AA & Regular Meetings and called meetings of Executive Council.
                        f.      To manage and control the office of Executive Council in Co-operation with Director, Alumni Association.
                        g.     To maintain up dated membership directory.
                        h.     To present the budget for financial year at Executive Council and AGM with the help of treasurer.
            8.14     Treasurer:-  It shall be the duty of treasurer:
                        a.     To receive and deposit all monies in account of association in any nationalize bank as approval by association.
                        b.     To withdraw money from such accounts only by cross cheques having countersigns of chairman and secretary.
                        c.     To submit financial report at every meeting of Executive Council.
                        d.     To submit annual financial report in annual general meeting of Alumni Association.
                        e.     To reimburse payees with proper itemized receipts for pre-approved activities.
                        f.      To be bonded at the expenses of the Association.
                        g.     To provide remuneration to employee / employees of the Association in accordance with an agreement.
                        h.     To serve as member of any executive committee on nomination.
                         i.     To keep and maintain accounts for all funds and to monitor all transactions to ensure they follow the approved internal audit procedures.
                        j.      To prepare investment reports for any endowment fund.
                        k.     To prepare required central and state tax forms.
            8.15     Director-Alumni Association:-
                        It shall be the duty of Director Alumni Association:-
                        a.     To serve as Ex-officio member of Executive Council.
                        b.     To serve as member of Executive Committee on nomination.
                        c.     To be custodian of the records of all proceedings of the Executive Committees, Executive Council and Alumni association.
                        d.     To act as a liaison between college and Alumni Association.
                        e.     To serve as an observer for any Executive Committee on nomination.
                        f.      To notify all members elected and nominated to office or committee.
                        g.     To serve as editor for publications of Associations.
                        h.     To maintain copies of the constitution and by – laws under which Alumni Association is governed.
                        i.      To keep accounts of gifts with acknowledgement receipt.
                        j.      To work with college administration in disbursing monies for the needs of the college.
                        k.     To assist office bearers to carryout their functions.
                        l.      To hold office currently with his position at the College.
            8.16     Students’ Representative:-
                        a.     The General Secretary, M.P. Law College’s Student Council shall be Ex-officio member of Executive Council.
                        b.     S/he shall have the voice to raise their causes for achieving professional excellence.
                        c.     S/he shall be ex-officio member of Executive Council concurrent to his / her position as General Secretary of Student Council in College.
                                                Article – IX: Publications:-
            9.1       The Alumni Association shall have publications like newsletters, Law Journal etc.. The nomenclature of the newsletter or law Journal shall be “Jurist”
            9.2       Any publication approved may be published quarterly. Periodicity of the publication may be changed from time to time depending upon availability of resources.
            9.3       The newsletter shall provide up-to-date information about any recent and forthcoming activities of the AA to its members.  It shall also cover, the events held and participated by College staff and students, and announcement of any forthcoming fellowship, college staff traveled abroad, and new software and other facilities available from the college.
            9.4       The member of Alumni Association can have short message, published in the newsletter to announce their plans, activities and scientific achievements, as well as share opinion on AA – related matters.
            9.5       The responsibility for publications in the newsletter, etc.  is with their author/s and not with the editor or any other member or officer of AA.
            9.6       The newsletter may be published electronically.  It shall be accessible through Alumni Association section of M.P. Law College website. Hard copies of the newsletter shall be sent to AA members who have no access to internet.
                                                Article – X: Funding:
            10.1     Alumni Association general funds:-
                        a.     All events and activities shall normally be funded by its members through membership fees or annual subscription or from benevolent sources.
                        b.     The secretary is authorized to sign contracts, cheques and legal obligations in accordance with the approval of Executive Council and internal audit procedures.
                        c.     The officers and Executive Councilors shall serve without salary or remuneration from the Alumni Association for their services.
            10.2     College Fund:-
                        a.     The College shall raise funds from students’ admission to any class by way of levying regular membership of Rs. 100/- (Only Hundred Rupees) every year on behalf of Alumni Association.
                        b.     The M.P. Law College shall provide operating funds for expenses such as salaries and benefits for the college employees who shall work in concert with the Alumni Association and provide those employees with necessary office supplies and equipment.
            10.3     Alumni Association Scholarship fund:-
                        a.     The scholarship recipients shall be determined by M.P. Law College Scholarship Committee.
                        b.     The Scholarship will be awarded according to the guidelines established by the donors.
                        c.     The General Scholarship will be awarded according to the guidelines established by Executive Council.
            10.4     Whoever actively carrying out the mission and purpose of Alumni association shall be indemnified in case of loss from claims subject to following principles:
                        a.     The law of indemnification shall apply in case of non profit.
                        b.     The indemnification shall include costs and expenses incurred by the member in connection with any legal proceeding.
                        c.     The intent of this indemnification is to minimize any financial risk to a member for participation on behalf of the Alumni Association.
                        d.     This indemnification shall not apply to intentional misconduct, negligence or the knowing violation of law.
                        e.     This indemnification shall not apply to the extent of personal financial benefits to member unless such benefit has been approved by Executive Council after full disclosure.

                                                Article – XI Election of Executive Council:
            11.1     All Councilors shall directly be elected from the current life members of the Association.
            11.2     All life members of Alumni Association is entitled to be elected as a officers or councilors of Executive Council.
            11.3     All members of AA are entitled to be elected as Councilors except Affiliate and honorary members.
            11.4     All members of AA are entitled to be nominated as a member of Committees constituted by Executive Council or Alumni Association.
            11.5     The election committee shall supervise, manage and control elections after notification.
            11.6     The elections of the office bearers shall take place in an Annual General Meeting.
            11.7     The right of voting shall be exercised by all members except affiliate and honorary members by postal or electronic mail ballot or in meeting by show of hands or by acclamation.
            11.8     Voting by proxy shall not be permitted.
            11.9     Notice of election shall be served on members by different via media at least 20 days before an election.
            11.10   Valid votes must reach election committee on or before closing deadline.
            11.11   The election committee shall be nominated one month before annual general meeting by the chairman in consultation with Executive Council.
            11.12   The election committee shall get dissolved automatically with lapse of 7 days after election.
            11.13   The election committee shall have power to ballot, count and publish (announce) election results.  It shall adjudicate minor contentions during or after election.  The election committee shall have the power to set up adjudication committee to settle outstanding complaints. 
            11.14   The Election Committee shall submit the report to annual general meeting.
                                               

                                                Article - XII: Amendment:
            12.1     The Constitution may be amended:-
                        a.     At a general meeting upon a notice prescribed, by two–third members present and voting; or
                        b.     By a resolution of two-third Councilors of Executive Council, provided that such amendment shall be deemed to have been rescinded if not adopted by General meeting within 18 months by majority of the members present and voting.
            12.2     The By laws may be amended:-
                        a.     At a General meeting of members, upon notice prescribed, by a majority of members present and voting; or
                        b.     By a resolution of the majority of the Councilors present and voting at the Executive Council, provided such amendment shall be deemed to have been rescinded if not adopted by majority of members in forthcoming general meeting.
                                                Article – XIII: Debts and Liabilities:
            13.1     The debts and liabilities of the Association shall be the responsibilities of all office bearers and councilors elected, to meet debts and liabilities of their term proportionately.
                                                Article – XIV – Dissolution of Association:
            14.1     The Alumni Association shall stand dissolved by resolution passed by ¾ of the members at general meeting or special meeting.
            14.2     In the event of dissolution of Association the assets of it shall pass on to M.P. Law College, Aurangabad.

                                                By law No. 1 – Notices

I.          General Meetings of Members:-
            1.1       Notices of General Meeting shall be posted on the internet at least:
                        a.     30 days in advance for an annual general meeting of members scheduled in June, or
                        b.     60 days in advance in all other cases.
            1.2       Due notice to consider substantive motion at a General meeting of members shall be deemed to have been given if:
                        a.     The text of the motion:                          
                                i)  Has been received by the secretary, alone with at least 50 alumni names and signatures, at least 60 days in advance; or
                                ii) Has been recommended by Executive Council be place it at General Meeting.
                        b.     The text of the motion is posted on the internet at least 30 days prior to the General Meeting of Alumni Association.
II.        Executive Council:-                                                      
            2.1       Notices of meetings of the Executive Council shall be issued by mail, e-mail or fax at least 30 days in advance unless waived by 2/3 of the councilors.
III.       Executive Committee:-
            3.1       Notices of meetings of the Executive Committee shall be issued by mail, e-mail or fax at least 10 days in advance unless waived by ¾ of the members.
